These Terms & Conditions ("Terms") govern your use of bluecyde.com and the marketing, web and automation services provided by BlueCyde ("BlueCyde", "we", "us"). By using our website or services you agree to these Terms. If you do not agree, please do not use them.

1. Our services

BlueCyde provides services such as SEO, paid advertising management, web development, CRM automation, app development and AI agents. The exact scope, deliverables, fees and timelines for each client are set out in a proposal, quote or order ("Order"). If an Order conflicts with these Terms, the Order applies.

2. Free audits and strategy calls

Free growth audits and strategy calls are provided for information only, without obligation. Recommendations are based on information available at the time and are not a guarantee of results.

3. Fees and payment

• Monthly fees are billed in advance. One-time setup and project fees are billed as stated in your Order.
• Advertising spend is paid directly by you to the advertising platform (for example Google or Meta) and is not included in our fees unless your Order says otherwise.
• Third-party software subscriptions are paid by you directly unless your Order states they are included (for example, HighLevel in our CRM plans).
• Late payments may lead to work being paused until the account is brought up to date.

4. Term and cancellation

Monthly services have a minimum term of 90 days, after which they continue month-to-month. Either party may cancel after the minimum term with 30 days' written notice. One-time projects may be cancelled in writing; you pay for work completed up to the cancellation date. Fees already paid are non-refundable except where required by law or stated in your Order.

5. Your responsibilities

• Provide accurate information, timely feedback and the access we need (for example to your website, ad accounts and Google Business Profile).
• Make sure the content, offers, licences and claims you ask us to publish are accurate and lawful.
• Obtain any consents required to contact your customers by phone, text or email, and comply with laws such as the TCPA and CAN-SPAM.

6. No guarantee of results

Search rankings, advertising performance and lead volume depend on factors outside our control, including platform algorithms, competition, budgets and market demand. We commit to doing professional work and reporting honestly, but we do not guarantee specific rankings, traffic, leads or revenue.

7. Ownership

You own your ad accounts, domain, website content, Google Business Profile and customer data. Once fees for a deliverable are paid in full, you own the final deliverables we create specifically for you. We keep ownership of our pre-existing tools, templates, processes and know-how, and you receive a licence to use them as part of your deliverables. We may reference your company name and non-confidential results in our portfolio unless you ask us not to.

8. Third-party platforms

Our services rely on third-party platforms such as Google, Meta, OpenAI, HighLevel, WordPress and hosting providers. Their terms and policies apply, and we are not responsible for their outages, policy changes, account suspensions or pricing changes.

9. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform or receive the services, except where disclosure is required by law.

10. Limitation of liability

To the fullest extent permitted by law, BlueCyde is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim relating to the services is limited to the fees you paid us in the three months before the claim arose.

11. Indemnity

You agree to indemnify BlueCyde against claims arising from content or materials you supply, your products or services, or your breach of these Terms or applicable law.

12. Website use

You may not misuse our website, attempt to gain unauthorised access, or copy our content for commercial use without permission. The website is provided "as is" and may change at any time.

13. Text messaging terms

By providing your mobile number and opting in, you agree to receive text messages from BlueCyde about your enquiry, appointments and services. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for help. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy.

14. Governing law and disputes

We will first try to resolve any dispute informally. Any remaining dispute will be governed by the law and courts named in your Order or, if none is named, by the laws applicable where BlueCyde is established.

15. Changes

We may update these Terms from time to time. The "Last updated" date above shows the latest version. Continued use of our website or services means you accept the updated Terms.
